Terms of service
Last updated: Draft, not yet in effect
Draft — pending legal review
This terms of service is a working draft. It has not been reviewed by a lawyer and is not yet in effect. Items marked “placeholder” will be completed before it takes effect.
1. The agreement
These terms are an agreement between Granite Peak Software LLC (“Leadyard”, “we”, “us”) and the business that signs up for the Leadyard service (“you”, the “customer”). By using the service you agree to them. If you are agreeing on behalf of a company, you confirm you have the authority to do so.
2. The service
Leadyard provides, for one monthly fee:
- A website built for your business, hosted by us.
- A tracking phone number that rings through to the phone you choose.
- A log of every call to that number, with optional call recording that you can turn on.
- Missed-call and new-lead alerts by text and email to the people you choose.
- A CRM where web form submissions land as leads automatically, with a lead board, stages, notes, a customer timeline, a customer list and CSV export.
The service is described on this website. We may improve or change how it works over time. If a change removes something material, we will tell you first.
3. Your account
You are responsible for the people you give access to your account and for what they do with it. Keep your login details private and tell us at hello@getleadyard.com if you think someone else has them.
4. Acceptable use
You agree not to use the service to:
- Break the law, or help anyone else to.
- Send unwanted or deceptive communications.
- Interfere with the service or try to access other customers’ data.
- Put content on your website that you do not have the right to use.
5. Fees
The service costs $130 per month. There is no setup fee and no minimum term.
[PLACEHOLDER: legal review: billing date, payment method, late payment, price changes and refunds]
6. Cancellation, your domain and your number
[PLACEHOLDER: legal review: how to cancel, what happens to the website, the domain and the tracking number on cancellation]
7. Call recording
Call recording is optional and off by default. You decide whether to turn it on. Leadyard does not play a recording announcement to callers. If you turn recording on, you are responsible for complying with the call-recording and consent laws that apply where you operate and where your callers are located, including giving any notice those laws require.
8. Your data
The leads, call logs, recordings, notes and customer records in your account are yours. Each company’s data is private to that company. We use your data only to provide the service and as described in our privacy policy. You can export your customer list to CSV at any time.
You are responsible for the information you and your visitors put into the service, and for handling your own customers’ information lawfully.
9. Your website content
You supply the information, text and images for your website, and you confirm you have the right to use them. We build the site and keep it running. You keep the rights to your content; we keep the rights to the software and templates behind the service.
10. Availability
We work to keep the website, the tracking number and the CRM running, but we cannot promise they will never be interrupted. Phone and text delivery depend on carriers we do not control.
11. Warranties and liability
The service is provided “as is”. To the extent the law allows, we disclaim all warranties, and our total liability to you for any claim is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect losses, including leads or business you did not get.
[PLACEHOLDER: legal review: warranty disclaimer, limitation of liability and indemnity wording]
12. Ending the agreement
We may suspend or end your account if you break these terms and do not fix it after we tell you, or if the law requires it.
13. Governing law
These terms are governed by the laws of the State of South Dakota, without regard to its conflict of law rules.
[PLACEHOLDER: legal review: venue and dispute resolution]
14. Changes to these terms
We may update these terms. When we do, we will update the date at the top of this page and, for significant changes, tell you directly before they take effect.
